“… is authorized to exercise all powers of the Board between the meetings of said Board, except … (i) authorize distributions, (ii) approve dissolution, merger, sale pledge or transfer of all or substantially all of the Foundation’s assets, (iii) elect, appoint, or remove Directors or fill vacancies on the Board of Directors or any of its committees, or (iv) adopt, amend, or repeal the Articles or Bylaws.”
